Thank you for using Nezt.

These Terms of Service (“Terms”) constitute a binding legal agreement between you and Nezt Ltd (“Nezt”, “we”, “us” or “our”) and govern your access to and use of Nezt.com and any websites, applications, payment services, communications, tools or other services provided by Nezt (collectively, the “Nezt Platform”).

The Nezt Platform is an online marketplace that enables users to publish, offer, search for, enquire about and book furnished accommodation.

Users who publish and offer accommodation are referred to as “Hosts.”

Users who search for, enquire about, book or occupy accommodation are referred to as “Clients.”

A property or accommodation offered through the Nezt Platform is referred to as an “Accommodation.”

An offer for Accommodation published on the Nezt Platform is referred to as a “Listing.”

A confirmed booking between a Client and Host is referred to as a “Reservation.”

By accessing or using the Nezt Platform, creating an account, submitting an enquiry, publishing a Listing or making or accepting a Reservation, you agree to these Terms and any policies expressly incorporated into them.

If you use the Nezt Platform on behalf of a company, organisation or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.

Nothing in these Terms excludes or limits rights or remedies that cannot lawfully be excluded or limited under applicable law.

Client Terms

1. Searching and Booking on Nezt

1.1 Searching

Clients may search for Accommodation using criteria including location, dates, number of occupants, price, property characteristics and other available filters.

Search results may be determined by factors including availability, price, Listing quality, Host responsiveness, booking history, popularity, reviews, Client preferences, promotional arrangements and other factors determined by Nezt.

Nezt does not guarantee the order in which Listings will appear.

1.2 Booking

When you make a Reservation, you agree to pay all amounts disclosed or otherwise properly payable in connection with the Reservation, including:

  • Accommodation charges;
  • Nezt service or booking fees;
  • cleaning fees;
  • applicable taxes;
  • agreed additional services;
  • scheduled instalments;
  • approved Reservation modifications or extensions; and
  • other charges properly disclosed and authorised under these Terms.

When a Reservation is confirmed, a contract for the provision of the Accommodation is formed directly between the Client and Host.

Nezt provides the marketplace and related services but does not own the Accommodation and, unless expressly stated otherwise, is not the provider of the Accommodation.

The Host’s cancellation policy, house rules and other conditions properly disclosed through the Listing or booking process form part of the Reservation.

1.3 Accommodation Reservations

A Reservation grants the Client and authorised occupants a limited right to enter, occupy and use the Accommodation for the agreed Reservation period.

The Client must not exceed the maximum permitted number of occupants without approval through Nezt.

Clients must vacate the Accommodation by the agreed checkout time unless an extension has been approved through Nezt.

Remaining at an Accommodation beyond the agreed checkout date or time without permission may result in additional charges and any lawful action necessary to recover possession of the Accommodation.

1.4 Accommodation Information

Hosts are responsible for providing accurate information about their Accommodation.

Amenities available at an Accommodation will be specified in the Listing or otherwise communicated through Nezt during the booking process.

Unless expressly stated otherwise, Nezt does not independently guarantee the condition, availability or characteristics of an Accommodation.

1.5 Check-In and Check-Out

Check-in and checkout arrangements must be communicated through Nezt or the Nezt Platform.

Clients and Hosts must not use the need to arrange check-in, checkout, access, maintenance or other Reservation matters as a reason to move communications outside the Nezt Platform.

2. Cancellations, Refunds and Reservation Modifications

2.1 Client Cancellations

If a Client cancels a Reservation, any refund or remaining amount payable will normally be determined by the cancellation policy applicable to the Reservation, subject to applicable law and any other Nezt policy that expressly applies.

Service fees may be non-refundable where disclosed before booking and permitted by applicable law.

2.2 Host Cancellations

If a Host cancels a confirmed Reservation, Nezt may provide the Client with:

  • a full or partial refund;
  • assistance finding alternative Accommodation;
  • credit towards alternative Accommodation; or
  • another appropriate remedy.

The remedy available will depend upon the circumstances and applicable Nezt policies.

2.3 Reservation Issues

Clients must notify Nezt as soon as reasonably practicable if an Accommodation is materially different from the Listing, inaccessible, unavailable, unsafe or otherwise affected by a significant issue.

Nezt may request photographs, videos, communications or other evidence before determining an appropriate resolution.

2.4 Reservation Modifications

Clients and Hosts are responsible for Reservation modifications they agree to through the Nezt Platform or that Nezt makes on their behalf at their request.

Additional Accommodation charges, fees and taxes resulting from a modification may be charged to the Client’s payment method.

2.5 Relocation

Where a Reservation cannot reasonably be fulfilled, Nezt may assist the Client in locating alternative Accommodation.

Unless required by applicable law or expressly agreed by Nezt, Nezt does not guarantee that alternative Accommodation will be available at the same price, location or specification.

2.6 Long-Stay Reservations

Reservations of fifteen (15) nights or more may be subject to additional payment schedules, cancellation conditions and instalment arrangements disclosed during booking.

Leaving an Accommodation before the scheduled checkout date does not automatically cancel future payment obligations.

Any amount refundable or remaining payable following an early departure will be determined by the applicable cancellation policy, Reservation terms and applicable law.

3. Client Responsibilities

3.1 General Responsibility

Clients are responsible for their own acts and omissions and, to the extent permitted by applicable law, for the acts and omissions of anyone they invite, include in a Reservation or permit to enter the Accommodation.

Clients must:

  • comply with applicable laws;
  • comply with reasonable house rules;
  • treat the Accommodation and surrounding property with reasonable care;
  • avoid unreasonable disturbance to neighbours;
  • use facilities responsibly;
  • report emergencies promptly;
  • comply with agreed occupancy limits; and
  • leave the Accommodation in substantially the condition in which it was received, allowing for reasonable wear and tear.

3.2 Corporate and Third-Party Bookings

Where a Client books Accommodation on behalf of a company, employer, employee, contractor, colleague, guest or other third party, the Client represents that they have authority to make the Reservation.

The person or entity making the Reservation remains responsible for payment obligations arising from the Reservation and, to the extent permitted by applicable law, for compliance with these Terms by the occupants for whom the Reservation was made.

Business travel or accommodation for employees, contractors, project teams or other personnel is permitted.

However, an Accommodation must not be operated as commercial premises or used for events, retail activity, manufacturing, filming or other materially different commercial activity unless expressly approved through Nezt and permitted by applicable law.

3.3 Damage and Loss

Clients are responsible, to the extent permitted by applicable law, for damage or loss caused to an Accommodation or its contents by:

  • the Client;
  • an authorised occupant;
  • an employee or contractor accommodated under the Reservation;
  • a visitor invited by the Client or an occupant; or
  • another person whom the Client or an authorised occupant permits to access the Accommodation.

This does not include reasonable wear and tear or damage demonstrably existing before the Reservation.

4. Off-Platform Communication, Contact, Payments and Circumvention by Clients

4.1 Nezt Introductions

A “Nezt Introduction” occurs where a Client or Host discovers, identifies, contacts, communicates with, enquires about, receives details of, books with, or otherwise becomes aware of the other party or an Accommodation through or as a result of:

  • the Nezt Platform;
  • a Nezt Listing;
  • a Nezt enquiry;
  • Nezt customer service;
  • communications facilitated by Nezt;
  • information supplied by Nezt; or
  • another introduction made directly or indirectly by Nezt.

4.2 All Communication Must Remain on Nezt

Where a Nezt Introduction has occurred, Clients are strictly prohibited from communicating or attempting to communicate directly with the Host outside the Nezt Platform.

All communication between a Client and Host must take place through Nezt or communication tools expressly provided or approved by Nezt.

This prohibition applies before, during and after a Reservation and includes communication relating to enquiries, bookings, check-in, access, maintenance, extensions, complaints, payments, future stays and any other matter connected with the Accommodation or Reservation.

4.3 Prohibited Communication Channels

Clients must not communicate with a Host through:

  • (a) personal telephone calls;
  • (b) SMS or text messages;
  • (c) WhatsApp, Telegram, Signal or another private messaging service;
  • (d) personal email addresses;
  • (e) Facebook Messenger, Instagram, LinkedIn, X or another social media platform;
  • (f) another accommodation or booking marketplace;
  • (g) private messaging applications;
  • (h) in-person discussions intended to arrange matters outside Nezt; or
  • (i) any other communication method outside the Nezt Platform.

Clients must not request, share, obtain, record or use a Host’s personal telephone number, email address, social media account, payment information or other private contact details for the purpose of communicating outside Nezt.

4.4 No Direct Contact Even for Existing Reservations

The existence of a confirmed Reservation does not permit direct communication outside Nezt.

Check-in information, access arrangements, maintenance issues, checkout arrangements, requests, complaints, extensions and other Reservation-related matters must be communicated through Nezt.

Where an urgent or emergency situation makes communication through Nezt genuinely impossible, communication reasonably necessary to protect life, safety or property will not constitute a breach of this Section.

Any such emergency exception must not be used to arrange payments, extensions, future bookings or other commercial matters outside Nezt.

4.5 Prohibited Transactions

Clients must not:

  • (a) request or encourage a Host to accept a direct booking;
  • (b) request or obtain a Host’s bank details or payment information;
  • (c) pay a Host directly;
  • (d) provide their own personal contact details for off-platform communication;
  • (e) cancel or attempt to cancel a Nezt Reservation in order to book substantially the same Accommodation directly;
  • (f) arrange an extension, renewal, repeat stay or future booking directly with a Host introduced through Nezt;
  • (g) accept an invitation from a Host to communicate, book or pay outside Nezt;
  • (h) negotiate pricing outside Nezt; or
  • (i) otherwise participate in conduct intended to bypass Nezt.

4.6 Breach

Any unauthorised off-platform contact or communication between a Client and Host following a Nezt Introduction constitutes a breach of these Terms.

Where Nezt reasonably determines that the communication was intended to arrange, facilitate or support an off-platform transaction, avoid Nezt’s fees or payments, or otherwise circumvent the Nezt Platform, the conduct will constitute a material breach.

4.7 Consequences of Breach

To the maximum extent permitted by applicable law, Nezt may:

  • immediately suspend or terminate the Client’s account;
  • restrict the Client’s access to the Nezt Platform;
  • cancel affected Reservations;
  • refuse discretionary cancellation requests;
  • refuse discretionary refunds;
  • withdraw credits or promotional balances;
  • withdraw discretionary relocation or rebooking assistance;
  • withdraw other discretionary Nezt protections or benefits;
  • recover amounts properly owed to Nezt;
  • recover reasonable losses caused by the breach; and
  • take any other action available under these Terms or applicable law.

Where a Client and Host communicate or transact outside Nezt in breach of these Terms, Nezt will not be responsible for administering, supporting, modifying, cancelling, refunding, guaranteeing or resolving disputes relating to any resulting off-platform arrangement.

Any money paid directly to a Host or another third party outside Nezt is paid entirely at the Client’s own risk.

Nothing in this Section removes a statutory refund, cancellation, payment or consumer right that cannot lawfully be excluded.

4.8 Continuing Application

Unless Nezt expressly agrees otherwise in writing, the restrictions in this Section continue for twelve (12) months following the later of:

  • (a) the most recent interaction between the Client and Host through Nezt;
  • (b) completion or cancellation of their most recent Nezt Reservation; or
  • (c) the relevant Nezt Introduction.

Host Terms

5. Hosting on Nezt

5.1 Hosts

Hosts determine the Accommodation they offer, their pricing, availability and permitted occupancy, subject to these Terms and applicable law.

When a Host accepts a Reservation or receives confirmation of a Reservation, the Host enters into a contract directly with the Client and must provide the Accommodation as described.

5.2 Host Authority

A Host represents and warrants that they:

  • own the Accommodation or are legally authorised to offer it;
  • have authority to enter into Reservations;
  • have obtained any permissions, licences or registrations required by law;
  • are authorised to receive payments relating to the Accommodation; and
  • are authorised to provide all Listing content submitted to Nezt.

Where a Host acts for a property owner, company, agency or other organisation, the Host represents that they have authority to bind that organisation.

5.3 Independent Hosts

Hosts are independent persons or businesses.

Nothing in these Terms creates an employment, partnership, franchise, agency or joint venture relationship between Nezt and a Host, except to the extent Nezt or its payment service provider acts in a limited payment collection capacity.

6. Managing Listings

6.1 Listing Accuracy

Hosts must provide complete, current and accurate information concerning their Accommodation, including:

  • location;
  • photographs;
  • description;
  • amenities;
  • occupancy limits;
  • pricing;
  • cleaning charges;
  • other mandatory charges;
  • availability;
  • seasonal rates;
  • minimum stays; and
  • relevant house rules.

6.2 Calendar and Availability

Hosts are solely responsible for ensuring that availability displayed on Nezt is accurate and current.

Where Accommodation is listed on another marketplace, booking website, channel manager or booking system, the Host is responsible for maintaining effective calendar synchronisation or otherwise ensuring unavailable dates are promptly blocked on Nezt.

A Host must promptly update Nezt following any material change in availability.

A Host’s failure to update its calendar does not automatically entitle the Host to require a Client to cancel a confirmed Reservation.

6.3 Pricing

Hosts are responsible for ensuring their prices, seasonal rates, minimum stays, discounts, cleaning charges and other Listing charges are accurate.

Unless Nezt has caused a pricing error, a Host may not cancel or refuse an otherwise valid confirmed Reservation solely because the Host failed to update its own pricing.

6.4 Double Bookings

If a Host is unable to fulfil a confirmed Reservation because:

  • the Accommodation was booked elsewhere;
  • the Host failed to update availability;
  • calendar synchronisation was not maintained;
  • incorrect availability was supplied; or
  • the Accommodation was otherwise unavailable due to an act or omission of the Host,

Nezt may treat the matter as a Host-caused cancellation.

To the extent permitted by applicable law and the applicable payment terms, Nezt may recover reasonable costs directly resulting from a Host-caused cancellation, including refunds, payment costs and reasonable relocation costs.

6.5 Listing Content

Hosts must only upload, import or otherwise provide photographs, descriptions, reviews, data or other material that they own or are legally authorised to use.

Where a Host instructs Nezt to import content from another website or platform, the Host represents and warrants that they possess all rights and permissions necessary for Nezt to reproduce and display that content.

7. Host Legal and Property Responsibilities

Hosts are responsible for understanding and complying with all laws, regulations, licences, planning restrictions, leases, mortgage conditions, insurance requirements, building rules, tax obligations and other requirements applicable to their Accommodation.

Hosts are responsible for ensuring Accommodation is reasonably safe, habitable and compliant with applicable health and safety requirements.

Nezt may request evidence of:

  • identity;
  • ownership or authority;
  • insurance;
  • licences;
  • safety documentation;
  • bank or payout information; or
  • other information reasonably required to operate the marketplace or comply with law.

Failure to provide requested information may result in suspension of a Listing, Reservation, payout or account.

8. Off-Platform Communication, Contact, Transactions and Circumvention by Hosts

8.1 All Communication Must Remain on Nezt

Where a Nezt Introduction has occurred, Hosts are strictly prohibited from communicating or attempting to communicate directly with a Client outside the Nezt Platform.

All communication with Clients must take place through Nezt or communication tools expressly provided or approved by Nezt.

This obligation applies before, during and after a Reservation.

8.2 Prohibited Contact Methods

Hosts must not contact or communicate with Clients using:

  • (a) personal telephone calls;
  • (b) SMS or text messages;
  • (c) WhatsApp, Telegram, Signal or another messaging service;
  • (d) personal email;
  • (e) social media;
  • (f) another booking marketplace;
  • (g) private messaging applications;
  • (h) direct in-person arrangements outside Nezt; or
  • (i) any other off-platform communication method.

Hosts must not request, obtain or use Client contact information for off-platform communication.

Hosts must not provide their own direct contact information to Clients for the purpose of communicating outside Nezt.

8.3 Existing Reservations

A confirmed Reservation does not give a Host permission to communicate directly with a Client outside Nezt.

Check-in instructions, key information, access details, maintenance matters, checkout arrangements, complaints, extensions and other Reservation communications must remain within Nezt.

The only exception is communication genuinely necessary in an immediate emergency where use of Nezt is not reasonably possible and communication is necessary to protect life, safety or property.

Such an exception does not permit off-platform commercial discussions or transactions.

8.4 Prohibited Conduct

Hosts must not:

  • (a) invite a Client to communicate privately;
  • (b) provide a Client with private contact details for future communication;
  • (c) provide bank details or external payment links;
  • (d) request or accept direct payment;
  • (e) offer a lower price, discount, rebate or other incentive for booking outside Nezt;
  • (f) cancel or encourage cancellation of a Nezt Reservation for the purpose of dealing directly;
  • (g) use Client details obtained through Nezt to solicit another booking;
  • (h) negotiate an extension or repeat booking outside Nezt;
  • (i) request that a Client book through another website or marketplace; or
  • (j) otherwise attempt to bypass Nezt.

8.5 Breach

Any unauthorised off-platform contact or communication with a Client following a Nezt Introduction constitutes a breach of these Terms.

Where Nezt reasonably determines that such communication was intended to facilitate an off-platform transaction, avoid Nezt’s fees or payments, solicit a direct booking or otherwise circumvent Nezt, the conduct constitutes a material breach.

8.6 Continuing Protection

Unless Nezt agrees otherwise in writing, this Section continues for twelve (12) months following the later of:

  • (a) the most recent interaction between the Host and Client through Nezt;
  • (b) completion or cancellation of their most recent Nezt Reservation; or
  • (c) the relevant Nezt Introduction.

8.7 Consequences

To the maximum extent permitted by applicable law, Nezt may:

  • (a) immediately suspend or terminate the Host’s account;
  • (b) suspend or remove any or all Listings;
  • (c) cancel affected or pending Reservations;
  • (d) withhold or set off amounts otherwise payable against amounts properly due to Nezt where legally permitted;
  • (e) recover service fees, commissions and charges Nezt would reasonably have earned had a resulting transaction been completed through Nezt;
  • (f) recover reasonable losses and enforcement costs directly caused by the breach; and
  • (g) exercise any other rights available under these Terms or applicable law.

A Host cannot avoid sums properly due to Nezt because the Host or Client moved communication or a transaction outside Nezt.

8.8 Off-Platform Arrangements

Nezt has no obligation to administer, support, modify, cancel, refund, guarantee or resolve an off-platform arrangement entered into in breach of these Terms except where required by law.

9. Host Cancellations and Reservation Issues

Hosts should not cancel confirmed Reservations except where reasonably necessary, permitted under the applicable cancellation policy or required by law.

Nezt may impose consequences for avoidable Host cancellations, including:

  • cancellation charges;
  • suspension of Listings;
  • reduced search visibility;
  • recovery of reasonable relocation costs;
  • withholding or set-off where legally permitted; or
  • account suspension or termination.

Where Nezt refunds a Client because of a Host-caused issue after a payout has been made, the Host authorises Nezt to recover the relevant amount from future payouts or by another lawful payment method.

Payment Terms

10. Fees

Nezt may charge Hosts and Clients service fees and applicable taxes for use of the Nezt Platform.

Applicable fees will be disclosed through the Nezt Platform, applicable commercial agreement or booking process.

Unless otherwise stated, service fees are non-refundable to the extent permitted by applicable law.

Nezt may change its fees by providing reasonable notice. Changes will not retrospectively alter fees for Reservations already confirmed unless otherwise agreed.

11. Payment Methods and Stored Payment Credentials

11.1 Payment Processing

Nezt may use regulated third-party payment service providers to process payments.

Payment credentials may be securely stored or tokenised by Nezt’s payment service providers in accordance with applicable security requirements.

Nezt does not necessarily receive or store a Client’s complete payment card number itself.

Payment-related personal information will be handled in accordance with Nezt’s Privacy Policy and applicable data-protection law.

11.2 Payment Authorisation

By providing a payment method to Nezt or its payment service provider, the Client authorises Nezt and its payment service providers to use that payment method for amounts authorised under:

  • these Terms;
  • the applicable Reservation;
  • applicable payment terms; and
  • any subsequent authorisation provided by the Client.

11.3 Subsequent Charges

Subject to applicable law, payment-network requirements and the applicable payment authorisation, the Client authorises Nezt or its payment service provider to charge the payment method associated with a Reservation for amounts properly due in connection with that Reservation, including:

  • (a) scheduled instalments;
  • (b) Reservation modifications;
  • (c) approved extensions;
  • (d) damage to the Accommodation or its contents caused by the Client or persons for whom the Client is responsible;
  • (e) missing or damaged furniture, fixtures, equipment, keys or other property;
  • (f) additional cleaning reasonably required as a result of use materially exceeding ordinary use;
  • (g) properly disclosed additional charges; and
  • (h) other amounts expressly authorised under these Terms or the Reservation.

12. Property Damage and Recovery of Costs

12.1 Client Responsibility

Clients are responsible for damage or loss for which they are liable under Section 3.

12.2 Reporting Damage

Hosts must report alleged damage to Nezt as soon as reasonably practicable and provide evidence reasonably requested by Nezt.

Evidence may include:

  • photographs;
  • video;
  • invoices;
  • receipts;
  • repair quotations;
  • replacement quotations;
  • check-in/check-out reports; or
  • other relevant documentation.

Nezt may consider a late damage claim where Nezt reasonably determines that circumstances justify doing so.

12.3 Assessment

Nezt may request information from both Host and Client when assessing a damage claim.

Where reasonably practicable, Nezt may provide the Client with notice of the claim and an opportunity to provide relevant information before a charge is made, subject to applicable law and payment requirements.

12.4 Charging the Payment Method

Where Nezt reasonably determines from available evidence that the Client is responsible for damage or loss and an amount is properly payable, the Client authorises Nezt or its payment service provider, subject to applicable law, payment-network requirements and the applicable payment authorisation, to charge the payment method associated with the Reservation for the properly determined amount.

12.5 Insufficient or Failed Payment

If Nezt is unable to recover a properly payable amount from the payment method associated with the Reservation, the Client remains liable for that amount.

Nezt may seek payment through another authorised payment method or use other lawful means of recovery.

12.6 Disputes

Clients may dispute a damage claim and provide evidence to Nezt.

Nezt may consider evidence provided by the Client, Host and relevant third parties when determining the appropriate resolution.

Nothing in this Section removes rights relating to unauthorised payment transactions or other rights that cannot lawfully be excluded.

13. Instalments and Long-Stay Payments

Where Nezt permits a Reservation to be paid in instalments, the Client agrees to the payment schedule disclosed during booking.

The Client authorises Nezt and its payment service provider to charge scheduled instalments to the authorised payment method on or around the dates disclosed in the applicable payment schedule.

The Client must maintain a valid payment method while amounts remain outstanding.

Failure of a scheduled payment does not automatically cancel the Client’s outstanding contractual payment obligations.

Nezt may retry a failed payment where permitted, request an alternative payment method, suspend services, contact the Client regarding payment or take other lawful recovery action.

Nezt may cancel or terminate a Reservation for material non-payment where permitted under the applicable Reservation terms and law.

Cancellation or early departure does not automatically extinguish amounts already accrued or otherwise properly payable under the applicable cancellation policy.

14. Chargebacks and Payment Disputes

Clients should contact Nezt promptly regarding disputed charges so that Nezt has a reasonable opportunity to investigate.

Nothing in these Terms restricts a Client’s lawful right to initiate a chargeback or payment dispute.

However, knowingly making a false, fraudulent or misleading chargeback or payment claim may constitute a material breach of these Terms.

Clients and Hosts agree to cooperate reasonably with Nezt in investigating payment disputes and may be required to provide relevant documentation or evidence.

Nezt may provide relevant Reservation records, communications, payment authorisations and other lawful evidence to its payment service providers, financial institutions or payment networks when responding to a payment dispute.

General Terms

15. Reviews

Nezt may permit Clients and Hosts to review one another or an Accommodation.

Reviews must be genuine and must not contain unlawful, defamatory, discriminatory, threatening, fraudulent or otherwise prohibited material.

Nezt does not guarantee the accuracy of reviews.

Nezt may also display reviews originating from third-party platforms.

Third-party reviews may not relate to a Reservation made through Nezt and may not have been independently verified by Nezt.

Nezt may identify third-party reviews as imported or originating from another source where appropriate.

16. Content

By uploading, submitting, importing or otherwise providing content to Nezt, you represent and warrant that you own that content or have all necessary rights and permissions to provide it and permit Nezt to use it.

You grant Nezt a non-exclusive, worldwide, royalty-free, sublicensable and transferable licence to host, reproduce, modify, format, distribute, display and otherwise use that content to operate, promote and improve the Nezt Platform and Listings, subject to applicable law.

This may include displaying Listing photographs and descriptions through Nezt’s website, advertising, search results, social media and other promotional channels.

Personal data contained within Content will be handled in accordance with Nezt’s Privacy Policy and applicable data-protection law.

17. Nezt Platform Rules

Users must not:

  • provide false or misleading information;
  • impersonate another person;
  • engage in fraud;
  • harass or discriminate against another user;
  • use Nezt for unlawful activity;
  • interfere with the security or operation of the Nezt Platform;
  • introduce malicious software;
  • scrape, crawl or systematically extract Nezt data without authorisation;
  • reverse engineer Nezt software except where permitted by law;
  • manipulate search rankings;
  • misuse another Member’s personal information;
  • use Nezt data for unsolicited marketing;
  • infringe Nezt’s or another person’s intellectual-property rights;
  • contact another Member outside Nezt following a Nezt Introduction except where expressly permitted under these Terms;
  • share private contact details with another Member for off-platform communication;
  • circumvent Nezt’s booking or payment systems;
  • create accounts to evade a suspension or termination; or
  • assist another person in violating these Terms.

18. Identity Verification

Nezt may, to the extent permitted by law:

  • request identification;
  • verify identity;
  • verify business information;
  • verify property ownership or authority;
  • verify payment or payout information;
  • use third-party verification providers;
  • conduct fraud or sanctions screening; and
  • request other information reasonably necessary to operate the Nezt Platform safely and lawfully.

Verification does not constitute an endorsement or guarantee by Nezt of any Client, Host or Accommodation.

19. Suspension and Termination

19.1 User Termination

A Member may request closure of their Nezt account.

Existing Reservations, outstanding payment obligations, claims and provisions intended to survive termination may continue to apply.

19.2 Nezt Enforcement

Nezt may suspend, restrict or terminate an account or Listing where Nezt reasonably believes that a Member:

  • materially breached these Terms;
  • contacted or attempted to contact another Member outside Nezt in breach of these Terms;
  • circumvented or attempted to circumvent Nezt;
  • engaged in fraudulent conduct;
  • violated applicable law;
  • endangered another person or property;
  • repeatedly cancelled Reservations without reasonable justification;
  • repeatedly provided inaccurate availability;
  • failed required verification;
  • failed to pay amounts properly due;
  • misused the Nezt Platform; or
  • otherwise created a material risk to Nezt, Members or third parties.

Nezt may also cancel Reservations, remove Listings, restrict features or revoke badges or status where reasonably appropriate.

Where required by applicable law, Nezt will provide notice or an opportunity to challenge an enforcement decision.

19.3 Re-registration

A person whose account has been suspended or terminated must not create another account or use another person’s account to circumvent that restriction without Nezt’s permission.

19.4 Survival

Payment obligations, damage obligations, indemnities, intellectual-property provisions, dispute provisions and the anti-circumvention and off-platform communication provisions applicable to existing Nezt Introductions survive termination to the extent stated in these Terms or permitted by law.

20. Nezt’s Role

Nezt provides an online marketplace enabling Clients and Hosts to discover one another and arrange Accommodation Reservations.

Unless expressly stated otherwise:

  • Nezt does not own the Accommodation;
  • Nezt is not the landlord or property manager;
  • Nezt does not itself provide the Accommodation;
  • Hosts are responsible for their Listings and Accommodation;
  • Clients and Hosts contract directly concerning the provision of Accommodation; and
  • Nezt is not responsible for the acts or omissions of Hosts or Clients except to the extent Nezt has independent obligations under applicable law.

Nezt may monitor, investigate or moderate use of the Nezt Platform in order to:

  • operate and improve the Platform;
  • prevent fraud;
  • enforce these Terms;
  • investigate complaints;
  • provide customer support;
  • protect Members;
  • comply with law; or
  • maintain Listing and eligibility standards.

Nezt’s exercise of these rights does not make Nezt responsible for independently inspecting or guaranteeing every Accommodation or Member.

21. Host Responsibility for Accommodation

The Host is responsible for the legality, condition, safety, cleanliness, suitability, availability and provision of the Accommodation.

Nezt may establish Listing standards or conduct checks, but such activities do not constitute a warranty that an Accommodation is safe, lawful, suitable or free from defects.

Any Nezt badge, status, verification or designation indicates only that applicable Nezt criteria were satisfied or assessed at the relevant time and does not constitute a guarantee by Nezt of the Accommodation or Host.

22. Indemnification

To the maximum extent permitted by applicable law, Members agree to indemnify and hold harmless Nezt, its affiliates and personnel from claims, liabilities, damages, losses and reasonable expenses arising from:

  • the Member’s material breach of these Terms;
  • unlawful use of the Nezt Platform;
  • the Member’s infringement of third-party rights;
  • the Member’s violation of applicable law;
  • content supplied by the Member;
  • the Member’s Accommodation or use of Accommodation; or
  • taxes for which the Member is legally responsible,

except to the extent the claim or loss was caused by Nezt’s own breach, negligence or other liability that cannot lawfully be excluded.

23. Disclaimers

To the maximum extent permitted by applicable law, the Nezt Platform is provided on an “as available” basis.

Nezt does not guarantee:

  • uninterrupted availability of the Platform;
  • that every Listing is error-free;
  • that every Client or Host will perform their obligations;
  • that every Accommodation will satisfy a Member’s subjective expectations; or
  • that third-party content is accurate.

Nothing in these Terms excludes warranties or statutory rights that cannot lawfully be excluded.

24. Limitation of Liability

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability that cannot legally be excluded for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or other liability that applicable law requires Nezt to bear.

Subject to the foregoing and to the maximum extent permitted by applicable law, Nezt will not be liable for indirect or consequential losses, loss of profit, loss of business, loss of opportunity, loss of goodwill or loss of data arising from use of the Nezt Platform.

For Clients, Nezt’s aggregate liability arising from a Reservation will, to the maximum extent permitted by law, not exceed the amounts paid by the Client to Nezt in connection with the relevant Reservation.

For Hosts, Nezt’s aggregate liability will, to the maximum extent permitted by law, not exceed the amounts paid or payable to the Host through Nezt during the twelve (12) months preceding the event giving rise to the claim.

These limitations do not apply where prohibited by law.

25. Taxes

Hosts are responsible for determining and satisfying tax obligations applicable to income generated through their Accommodation, including VAT, sales taxes, occupancy taxes, tourism taxes, income taxes and other applicable taxes.

Clients are responsible for taxes properly charged to them in connection with Reservations.

Where required or permitted by law, Nezt may collect, withhold, report or remit taxes and may request information necessary to satisfy legal tax-reporting obligations.

26. Privacy and Communications

Nezt processes personal information in accordance with its Privacy Policy and applicable data-protection law.

Members agree that Nezt may send transactional communications necessary to administer accounts, enquiries, payments, Reservations, security, verification and legal obligations.

Marketing communications will be handled in accordance with applicable law and available communication preferences.

Nezt may monitor or review communications made through the Nezt Platform where reasonably necessary for fraud prevention, safety, customer support, dispute resolution or enforcement of these Terms, subject to applicable privacy and communications laws.

27. Changes to These Terms

Nezt may amend these Terms from time to time.

Where required by applicable law, Nezt will provide reasonable advance notice of material changes.

Changes will take effect on the date specified in the updated Terms.

Where required by law, continued use of the Nezt Platform following the effective date will constitute acceptance of the updated Terms.

Material changes will not retrospectively alter a confirmed Reservation where doing so would be unlawful.

28. Complaints and Disputes

Members should first raise complaints or disputes with Nezt through the Nezt Platform.

Nezt may attempt to facilitate disputes between Clients and Hosts but is not required to determine private legal disputes between Members.

Any decision Nezt makes concerning refunds, platform enforcement, payments or other matters under these Terms does not prevent a Member from exercising legal rights that cannot lawfully be restricted.

29. Governing Law and Jurisdiction

29.1 United Kingdom

Where a Member contracts with Nezt Ltd in the United Kingdom, these Terms are governed by the laws of England and Wales, subject to any mandatory consumer protections applicable to the Member.

If you are a consumer, nothing in this Section deprives you of mandatory protections or rights to bring proceedings available to you under applicable law.

29.2 Users Outside the United Kingdom

Where Nezt operates in another jurisdiction, additional or jurisdiction-specific terms may apply.

Nezt may publish supplemental terms governing Members or Reservations in particular countries.

Where supplemental terms conflict with these Terms, the supplemental terms will apply to the extent of that conflict.

29.3 United States

Where a Client or Host resides in the United States or a Reservation concerns Accommodation located in the United States, any US-specific dispute-resolution or arbitration agreement presented and accepted as part of these Terms or applicable supplemental terms will apply to the extent enforceable under applicable law.

30. Force Majeure

Neither Nezt nor a Member will be liable for failure to perform an obligation where performance is prevented by circumstances genuinely beyond that party’s reasonable control, subject to applicable law and any applicable cancellation or extraordinary-events policy.

Such circumstances may include natural disasters, war, terrorism, government restrictions, widespread utility failures, epidemics or other comparable events.

Payment obligations already accrued are not automatically extinguished by this Section.

31. Intellectual Property

The Nezt Platform, including its software, design, branding, logos, text, graphics and other proprietary material, is owned by or licensed to Nezt and is protected by applicable intellectual-property laws.

Members may not reproduce, copy, modify, distribute, sell, license or commercially exploit Nezt intellectual property without prior written permission except where permitted by law.

Nothing in these Terms grants a Member ownership of Nezt’s trademarks, branding, software or other intellectual property.

32. Assignment

Members may not assign or transfer their rights or obligations under these Terms without Nezt’s prior written consent.

Nezt may assign or transfer its rights and obligations to an affiliate, successor, purchaser of its business or another entity as part of a restructuring, acquisition, sale or similar transaction, subject to applicable law.

33. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law and, where appropriate, severed without affecting the remaining provisions.

34. No Waiver

Nezt’s failure or delay in enforcing a provision of these Terms does not waive Nezt’s right to enforce that provision or any other provision later.

35. Entire Agreement

These Terms, together with any policies, payment terms, cancellation terms and supplemental terms expressly incorporated into them, constitute the agreement between Nezt and the Member concerning use of the Nezt Platform.

They supersede prior agreements concerning the same subject matter except where Nezt expressly agrees otherwise in writing.

Schedule 1 — Listing Requirements

Hosts must:

  • provide accurate and complete Listing information;
  • maintain accurate availability and pricing;
  • provide photographs that fairly represent the Accommodation;
  • disclose mandatory charges;
  • comply with applicable laws and regulations;
  • possess authority to offer the Accommodation;
  • maintain appropriate safety standards;
  • promptly notify Nezt of material changes affecting a Reservation;
  • refrain from misleading or fraudulent Listing practices; and
  • comply with Nezt’s applicable Host standards and policies.

Schedule 2 — Pricing

Hosts are responsible for establishing and maintaining accurate prices.

Pricing displayed to Clients should include or clearly disclose mandatory charges in accordance with applicable law.

Nezt may offer promotional discounts or incentives where permitted under the applicable Host agreement or with appropriate notice.

Hosts must not attempt to recover Nezt commissions or other undisclosed charges directly from Clients.

Schedule 3 — Off-Platform Communication and Anti-Circumvention Summary

For the avoidance of doubt:

Once a Client and Host are introduced through Nezt, they must not communicate directly with each other outside the Nezt Platform.

This prohibition includes:

  • phone calls;
  • SMS;
  • WhatsApp;
  • personal email;
  • social media messages;
  • messaging applications;
  • other booking platforms; and
  • any other private or direct communication channel.

Check-in instructions, property access, maintenance requests, extensions, pricing discussions, complaints, booking changes and other Reservation communications must remain on Nezt.

An exception applies only where direct communication is genuinely necessary in an immediate emergency to protect life, safety or property and communication through Nezt is not reasonably possible.

The emergency exception cannot be used to discuss payments, direct bookings, extensions, repeat bookings or future Accommodation.

Neither Clients nor Hosts may:

  • exchange personal contact details for off-platform communication;
  • arrange or accept direct payments;
  • negotiate bookings outside Nezt;
  • move a Nezt Reservation off-platform;
  • arrange an extension outside Nezt;
  • arrange a repeat booking outside Nezt; or
  • otherwise use a Nezt Introduction to bypass Nezt.

Unauthorised off-platform communication constitutes a breach of these Terms.

Circumvention or attempted circumvention constitutes a material breach.

Sections 4 and 8 govern the consequences.

Nothing in this Schedule excludes any statutory right that cannot lawfully be excluded.

Schedule 4 — Payment and Damage Authorisation Summary

By making a Reservation and providing an eligible payment method, the Client authorises Nezt and its payment service providers, subject to applicable law, payment-network requirements and the applicable payment authorisation, to process:

  • the initial Reservation payment;
  • scheduled future instalments;
  • authorised Reservation modifications and extensions;
  • properly established damage or loss charges;
  • properly established missing-item or key charges;
  • properly established additional cleaning charges; and
  • other amounts expressly authorised under the Reservation or these Terms.

Payment credentials may be securely stored or tokenised by Nezt’s payment service providers for these purposes.

Nezt may require reasonable evidence before determining a damage claim and may provide the Client with an opportunity to respond.

The Client remains responsible for properly payable amounts that cannot be recovered from the original payment method.

Nothing in this Schedule permits Nezt to make an unauthorised payment transaction or removes payment rights that cannot lawfully be excluded.
